General Conditions of Use and Sale

1. Purpose of the efashion-paris.com website

Efashion Paris works with fashion professionals and aims to bring together wholesalers (hereinafter, the "Wholesalers-Sellers") and ready-to-wear retailers (hereinafter, the " Retailers-Buyers”).

Through its website www.efashion-paris.com (hereinafter, the “Site”), the company Efashion Paris offers:

  • Wholesalers-Sellers of men's, women's and children's ready-to-wear, leather goods, shoes and fashion accessories, who have previously signed an intermediation contract with the company Efashion Paris, the possibility of exhibiting and selling on the Site their articles (hereinafter, the “Articles”);

  • to Retailers-Buyers who have previously created a buyer's account on the Site, the possibility of buying directly on the Site the Items offered by the Wholesalers-Sellers.

It is expressly reminded that the company Efashion Paris only acts as an intermediary and is in no way a reseller of the Articles and does not become, at any time, the owner of the Articles. 

2. Object and scope of the present

These General Terms and Conditions of Use and Sale are intended to inform Retailers-Buyers of the terms and conditions under which Wholesalers-Sellers sell Items on the Site and deliver the Items ordered (Hereafter, the “General Conditions”).

Any professional wholesaler wishing to sell their Items on the Site must first contact the company Efashion Paris. Indeed, these General Conditions are not intended to govern the relationship between Efashion Paris and the Wholesalers-Sellers.

The General Conditions apply, without restriction or reservation, to all sales of the Items offered on the Site.

Consequently, the fact for the Retailer-Buyer to order an Item offered for sale on the Site entails full acceptance of the General Conditions of which the Retailer-Buyer acknowledges having read prior to his order.

The term user refers to any person browsing the Site, whether Retailers-Buyers, Wholesalers-Sellers or any other Internet user visiting the pages of the Site accessible to the public (hereinafter, "Users").

3. Purchasing Items on the Site 

Access to the buyer's account is exclusively reserved for fashion/home/lifestyle professionals who are legally capable of entering into contracts under French law.

Opening an account is free and without obligation to purchase on the Site.

Efashion Paris reserves the right to refuse anyone who does not meet the admission criteria.

3.1. Registration on the Retailers-Buyers Site

In order to access the functionalities of the Site, the Retailer-Buyer must register on the Site via the "Become a buyer" icon appearing at the top right of the Site's home page.

A registration form appears on which the Retailer-Buyer must fill in the following information:

  • Company Name

  • intra-community VAT number valid on VIES or Siret number valid on Avis Situation Sirene

  • KBIS (only for French customers)

  • E-mail

  • password

  • first and last name of primary contact

  • delivery and billing address

  • business areas

  • phone number

Once the registration request has been sent, Efashion Paris verifies the conformity of the information given and validates or not the registration request. Efashion Paris may contact the Retailer-Buyer who submitted a registration request to request additional information, if necessary.

If the Retailer-Buyer does not meet the admission criteria, he is then informed that his application for registration has been rejected and is informed of the reasons.

Otherwise, an account activation confirmation is sent to the Retailer-Buyer via the email address provided. This summarizes his email address (login) as well as his password so that the Retailer-Buyer can connect to his account afterwards.

The Registered Retailer-Buyer is the only one authorized to use his account using the username and password created when registering on the Site.

This information, for which the Retailer-Buyer remains responsible, will be necessary each time a session is opened and must under no circumstances be communicated by the Retailer-Buyer to a third party or used by a third party.

The Retailer-Buyer undertakes not to use accounts other than the account initially created by him, whether under his own identity or that of a third party.

The Retailer-Buyer undertakes not to complete the registration form with contact details or information that is fanciful and/or erroneous.

The Retailer-Buyer undertakes to inform Efashion Paris of any fraudulent use by a third party of his account, as soon as he becomes aware of it.

In the event that the Retailer-Buyer provides information that is false, incomplete or in violation of the provisions of this article, Efashion Paris shall be entitled to suspend or terminate the Retailer-Buyer's account without delay and to refuse him immediately and for the future access to the use of the Site.

Payment of French VAT:

  • Retailers-Buyers delivery address in France: mandatory to pay

  • Retailers-Buyers delivery address in the European Union with a valid VAT number on VIES : exempt

  • Retailers-Buyers delivery address in the European Union with an invalid VAT number on VIES : mandatory to pay it

  • Retailers-Buyers delivery address outside the European Union: exempt

Specific case : If the billing address is in Kenya but the delivery address is in Germany, to be exempt from French VAT, the Retailer-Buyer must send us a valid German VAT number on VIES . If the Retailer-Buyer cannot provide this valid German VAT number, then he will have to pay the French VAT. The only solution for this specific case to not pay VAT would be to give a delivery address in Kenya.

3.2. Management and use of the account by the Retailer-Buyer 

Once registered on the Site, each Retailer-Buyer has access to a private space allowing him to:

  • to consult and modify the information concerning him or concerning the orders placed on the Site via the “my account” tab;

  • to make online purchases via the "my basket" tab.

3.3. Ordering on the Site 

The procedure for placing orders on the Site includes the following steps:

  • the Retailer-Buyer selects one or more Articles on the Site by clicking on the “Add to basket” icon, the selected Article is then added to the shopping basket;

  • a confirmation window allows the Retailer-Buyer to determine the quantity of Items he wishes to purchase from each Wholesaler-Seller, he can then choose to continue his purchases or finalize his order;

  • the Retailer-Buyer enters the delivery and billing address and chooses a delivery method;

  • the Retailer-Buyer views the information entered and the summary of his order and validates the order and declares to accept the General Conditions by clicking on the box “ I have read and accepted the General Conditions ”;

  • the Retailer-Buyer finalizes his order by providing the information required according to the payment method selected;

  • by clicking on the "Validate the order" icon, the Retailer-Buyer proceeds to the final validation of the order;

  • from the final validation of the order, Efashion Paris will send the Retailer-Buyer, by e-mail, a summary of the order. The details of the order will also be available on the Site, in the "My Account" section.

Validation of the order implies acceptance of the order by the Retailer-Buyer.

Editing the command:

Once the order has been submitted to Efashion Paris, it will no longer be possible for the Retailer-Buyer to modify his order, whether it is the content of the order, the transport or the means of payment.

If the Retailer-Buyer has made a mistake in the delivery address, it will be necessary to inform Efashion Paris customer service directly to modify the address. Under no circumstances is the clumsiness of the Retailer-Buyer the responsibility of Efashion Paris.

If the Retailer-Buyer finds himself paying VAT when he should not or conversely not paying VAT when he should, Efashion Paris invites him to wait before placing an order and contacting customer service. to inform him of this situation in order to regularize the situation.

Cancellation of the order :

Once the order has been submitted to Efashion Paris, it will no longer be possible for the Retailer-Buyer to cancel their order if the order is “confirmed” or “shipped”. Indeed, the Wholesaler-Seller prepares, packs, processes the order as soon as it is confirmed.

The cases for canceling the order are:

  • Efashion Paris is still waiting for your proof of transfer;

  • Efashion Paris is still awaiting validation from its service provider HERO that it accepts your funding request;

  • That your order is still under the status “Awaiting confirmation”.

The automatic registration systems on the site are considered as proof of the transactions made by the Wholesaler-Seller and the Retailer-Buyer.

Efashion Paris cannot be held liable in the event of erroneous information provided by the Retailer-Buyer, whether at the time of registration on the Site or when placing orders.

3.3.1. Item Availability

The offers presented on the Site are valid as long as they are visible on the Site and within the limit of available stocks.

The indications relating to the availability of the Items come from the Wholesalers-Sellers. Efashion Paris, in its capacity as an intermediary, cannot be held responsible in the event of the unavailability of the Items ordered.

In the event of unavailability of the Items ordered after placing the order:

  • the Retailer-Buyer will be informed as soon as possible by e-mail;

  • the Retailer-Buyer will have the option of requesting:

    • reimbursement of sums corresponding to the amount of the unavailable Item;

    • the replacement of items equivalent to the amount of stock shortages (at the same Wholesaler-Seller, owner of the goods). It will be impossible to replace at another Wholesaler-Seller

Today, there is on the Site, when placing your order, a checkbox to express your desire to replace the Items in the event of a shortage of stock. The Wholesaler-Seller will then have to try to contact you to make the changes. Without return from you, within 24 hours, the supplier reserves the right to ship the goods, without replacement.

3.3.2. Delivery

Delivery can only be made once the order has been validated by the Retailer-Buyer and payment has actually been received by Efashion Paris in its capacity as intermediary.

The Site offers three delivery methods for the Items ordered:

  • Efashion Paris organizes the transport with the help of its partners (UPS Standard, UPS groupage, DPD, Colissimo, OCX, GPX). The Retailer-Buyer pays the transport costs to Efashion-Paris. These are invoiced by Efashion-Paris. The invoice will be available in the space “My account” > My orders > Retailer-Buyer's shipping invoice. The Retailer-Buyer has access to delivery tracking directly from their space;

  • The Retailer-Buyer organizes the transport. The Retailer-Buyer is responsible for organizing and paying for transport to the third party;

  • The Retailer-Buyer collects his merchandise personally from the Wholesaler-Seller. The Wholesaler-Seller must have the Retailer-Buyer complete a proof of removal and have it signed, including the latter's complete and tax information if he is a foreigner.

Efashion Paris, in its capacity as an intermediary, will in no way be responsible for delays in order preparation, shipping and delivery of orders.

Once the package has been entrusted to the carrier by the Wholesaler-Seller, only the said carrier is responsible for it. Neither the responsibility of Efashion Paris, nor the responsibility of the Wholesaler-Seller can be questioned during the transport of the package.

Efashion Paris will always do its best to find solutions in the event of a problem, but is not responsible for disputes arising during the transport of packages. In the event of a dispute, before being able to reimburse the Retailer-Buyer, Efashion Paris will ensure that the carrier takes financial responsibility for the dispute before proceeding with any reimbursement. Efashion Paris is not responsible for the processing time of claims with carriers.

3.3.3. Complaint with defect / return

Complaints must be brought to Efashion Paris within 7 calendar days of delivery and not directly to the Wholesaler-Seller.

After this period, Efashion will no longer accept to process the complaint.

In the event that the Wholesaler-Seller has given its agreement to the Retailer-Buyer to take charge of the complaint, after the period of 7 calendar days, the two parties will then have to manage this between themselves, without having recourse to the intermediation service of E-fashion Paris. Neither party will be protected in the event of a new dispute.

Complaint about the condition of a damaged package

Upon delivery of the order, the Retailer-Buyer is required to check the condition of the package.

In the event of an anomaly relating to the condition of the package (damaged, open package, etc.), the Retailer-Buyer must either:

  • Refuse the delivery by immediately issuing an anomaly report;

  • Issue reservations to the carrier upon delivery.

Without the expression of reservations on the part of the Retailer-Buyer, it will be impossible to obtain compensation for the damage suffered in the event of a damaged package. Indeed, once the parcel is delivered to the carrier, only the latter is responsible for the proper delivery of the parcels, neither Efashion Paris nor the Wholesaler-Seller will be held responsible in the event of a dispute. Without reservation on delivery, the carrier then considers that you acknowledge receipt of a compliant package in good condition.

Claim for Damaged Items

In the event of an anomaly relating to the Items ordered (Damaged Items, lack of conformity, etc.), the Retailer-Buyer must report the damage or shortcomings observed to Efashion Paris by e-mail ( service@efashion-paris.com ) within 7 calendar days from receipt of the goods . After this period, no claim will be accepted.

  • If the Wholesaler-Seller acknowledges his error, that the complaint is founded, very often the Retailer-Buyer will have to return the damaged Items to the Wholesaler-Seller by respecting the procedure described by email. The return costs will be borne by the Wholesaler-Seller, and the return label will be sent by email. Once the return package has been received and inspected, Efashion Paris will reimburse the damaged and/or non-compliant Items via the payment method used when placing the order or in the form of a promotional code.

Claim for Missing Items

In the event of missing items, an investigation will be opened with the carrier and the Wholesaler-Seller to verify the weights communicated and other additional information. In the event of an exact match of weight, we will not be able to reimburse them (for lack of proof), in the event of a difference, we will bring the information to the attention of the Wholesaler-Seller and will try to find a solution with him in order to compensate the Retailer -Buyer.

Complaint relating to clumsiness on the part of the Retailer-Buyer

Any anomaly resulting from a clumsiness or a false maneuver by the Retailer-Buyer cannot be attributed to the Wholesaler-Seller.

 

>> In the event of non-compliance with the complaint procedure, the Retailer-Buyer cannot claim any reimbursement.

Under no circumstances will the company Efashion Paris, which acts as an intermediary, be liable for defective Articles and lack of conformity of the Articles delivered in relation to the order.

Returned Items must be accompanied by a packing list and properly packaged to protect the Items during transport. The Items will be returned to the Wholesaler-Seller, according to the mode of transport chosen by the latter, within 72 working hours from receipt of the summary email. It will be imperative to respect this deadline to obtain compensation for the damage suffered.

3.3.4. Returns / complaint without defect

Professional buyers do not benefit from the legal right of withdrawal applicable only to consumers. However, Efashion Paris grants a return without defect which would respect the conditions below:

  • The Retailer-Buyer expresses his wish to return Items to Efashion Paris (service@efashion-paris.com), within 7 calendar days from the date of receipt of the goods;

  • Return of the Article(s) within a maximum of 72 working hours from the acknowledgment of receipt by Efashion Paris.

  • Return of Items in their original packaging and packaging (if present upon receipt of the package): blister, plastic pouch ... of origin;

  • Each returned Item must be in new condition: unwashed, unworn, with the original label attached or stuck on as when the order was received;

  • When an Item is sold by pack, all the items in the pack must be returned;

  • Use of a package that allows sufficient protection of the Articles during transport;

3.3.5. Item Prices

The sale prices of the Items are indicated in euros, excluding taxes and excluding delivery costs.

At the time of the order, the delivery costs are calculated according to the weight, the size of the package, its destination and the shipping method chosen by the Retailer-Buyer.

It is expressly agreed that the sale price of the Article is that appearing on its sheet and that for this Article this price prevails over all other prices that may appear on the Site.

The price of the Items is non-negotiable.

3.3.6. Payment terms

Credit card, American Express

Purchases are made online by bank card, American Express being specified that the bank cards accepted by Efashion Paris are the following French and European or international cards: CB – VISA – MASTERCARD and that all bank charges associated with payments are borne by of the Retailer-Buyer.

Bank transfer

Once the order has been placed with this payment method, the Retailer-Buyer must send proof of transfer to service@efashion-paris.com so that the Wholesaler-Seller can prepare the order. The order will be dispatched once the funds have been received in our account.

Financial plan

Efashion Paris also offers its French customers (holding a bank card issued in Metropolitan France) payment for their order in 3 installments or deferred to 30 days at no additional cost with our partner HERO.

For your first order with HERO, below are the maximum amounts defined by HERO:

  • Outstanding default payment at 30 days = €500

  • Outstanding default for payment 3 times = €5,000

The financing request is sent to HERO, which reserves the right to accept or refuse the advance of funds, depending on the solvency of the Retailer-Buyer. Efashion Paris is in no way responsible and acts as an intermediary and has no decision-making power. A verification period of 4 to 24 hours worked by HERO is to be expected (if the order is urgent, we recommend payment by credit card).

Several scenarios:

  • The order is “ accepted ” by HERO: the Wholesaler-Seller can prepare and send the order;

  • The command is “ blocked ”:

    • HERO may ask the Retailer-Buyer for additional documents to prove its solvency, depending on whether the order will be accepted or refused;

    • HERO may decline the funding request. In this case, the Retailer-Buyer will be fully reimbursed for the sums advanced. The Retailer-Buyer can contact customer service ( service@efashion-paris.com or 01 53 27 91 08) to put the order back in the basket in order to proceed with payment by another means.

Efashion Paris uses a secure payment tool and therefore never has access to the banking information of Retailers-Buyers. The Retailer-Buyer must fill in his bank details for each order.

Efashion Paris reserves the right to suspend or cancel any execution of an order and/or delivery, whatever its nature and level of execution, in the event of non-payment or partial payment of any sum that would be due by the Retailer-Buyer, in the event of a payment incident, or in the event of fraud or attempted fraud relating to the use of the Site, including on the occasion of previous orders.

3.3.7. Evidence 

It is expressly agreed that the data kept in the information system of Efashion Paris has probative value with regard to purchases made by the Retailer-Buyer.

Data on computer or electronic media constitute valid evidence and, as such, are admissible under the same conditions and with the same probative force as any document which would be drawn up, received or kept in writing.

4. Personal data

Efashion Paris collects personal data

Retailers-Buyers are informed that this processing of information has been declared to the CNIL n°151976

These personal data are collected, processed, recorded and stored by Efashion Paris in accordance with the legal provisions in force in France.

4.1. Means of data collection

Efashion Paris collects personal data relating to the Retailer-Buyer:

  • when registering on the Site using the form available from the "Become a buyer" link on the Site's home page;

  • as well as when placing orders via the forms provided for this purpose.

4.2. Purposes of data collection

The personal data collected by Efashion Paris is necessary for the management of the services offered by Efashion Paris.

In addition, the data of Retailers-Buyers may be used, subject to the rights exercised by them, in order to send them information by e-mail.

In addition, Efashion Paris reserves the right to collect and publish generic information relating to the profiles of Retailers-Buyers without, however, indicating personal data such as their name and address.

Efashion Paris may also collect statistical information in order to know the use that Retailers-Buyers make of the Site (frequency of consultation of the various pages of the Website, statistics and origin of users of the Site, etc.).

4.3. Rights of access, rectification, deletion and opposition

Any personal data is subject to the provisions of Law No. 78-17 of January 6, 1978, as amended.

As such, Retailers-Buyers have the right to access and have data concerning them processed by Efashion Paris corrected or deleted, as well as the right to oppose the processing of such data for commercial prospecting purposes. direct.

Retailers-Buyers can exercise these rights with Efashion Paris:

  • by telephone on 01 53 27 91 08 (9:30 a.m. to 6 p.m. Monday to Friday);

  • or by writing to service@efashion-paris.com .

4.4. Data recipients

The personal data collected through the Site will be transmitted to partner companies, in particular to allow:

  • the processing of orders – in this respect certain data relating to Retailers-Buyers may be transmitted to Wholesalers-Sellers as well as to carriers;

  • detection of means of payment fraud;

  • the management of marketing operations organized by EFashion Paris or its partners.

4.5. Cookies

Efashion Paris may use "cookie" files stored on the computers of Users of its Site. In general, a cookie file records information relating to the navigation of the Users' computer that Efashion Paris can read during subsequent visits by these Users. In this case, it contains the information that Users have just provided to Efashion Paris. These cookies are also intended to enable Efashion Paris to collect information on visits to the Efashion Paris Website and to establish statistics.

Efashion Paris undertakes to use the information obtained through the installation of cookies only for the time necessary to achieve the purposes indicated above. Users have the right to oppose the registration of cookies by configuring their browser. Each browser being different, Users must check in the "Help" menu of their browser how to modify the preferences in terms of cookies.

5. Intellectual property 

5.1. Hyperlinks 

The Site may include links to other websites or other Internet sources. Insofar as Efashion Paris cannot control these sites and these external sources, Efashion Paris cannot be held responsible for the provision of these sites and external sources, and cannot bear any responsibility for the content, advertisements, products, services or any other material available on or from these sites or external sources.

In addition, Efashion Paris cannot be held responsible for any proven or alleged damage or loss resulting from or in connection with access, use or the fact of having trusted the content, goods or services available on these external sites or sources.

Finally, Efashion Paris recalls that any creation of a hypertext link to the home page of this Site or any other page of the Site is subject to the express, prior and written agreement of Efashion Paris.

5.2. Ownership of rights

All the elements (texts, logos, images, sound elements, software, icons, layout, database, etc.) contained in the Site and in the associated sites are protected by national and international intellectual property law. . These elements remain the exclusive property of Efashion Paris and/or its partners.

As such, except with the prior written authorization of Efashion Paris and/or its partners, the Users of the Site may not carry out any reproduction, representation, adaptation, translation and/or partial or complete transformation, or a transfer to a other website of any component of the Site.

Failure to comply with this prohibition may constitute an act of counterfeiting engaging the civil and/or criminal liability of the user.

In accordance with the provisions of the Intellectual Property Code, only the use of the elements making up the Site for strictly personal purposes is authorized.

5.3. Brands

The trademarks and logos reproduced on the Site are registered by the companies that own them.

Any reproduction, republication or redistribution of the names or logos, by any means whatsoever, without the prior written authorization of their respective holder is prohibited by law.

6. Liability

6.1. Responsibility of Efashion

It is expressly reminded that Efashion Paris only has the role of intermediary between Retailers-Buyers and Wholesalers-Sellers.

As such, Efashion Paris is in no way a reseller of the Articles and does not become, at any time, the owner of the Articles.

Regarding the provision of an online intermediation service, Efashion Paris is subject to a general obligation of means.

Efashion Paris cannot guarantee that the Item from the Wholesaler-Seller will satisfy the Retailer-Buyer.

EFashion Paris cannot be held liable for the nature and quality of the Wholesalers-Sellers presented on the Site.

As such, Efashion Paris cannot be held responsible in the event of non-compliance by the Wholesalers-Sellers with the legal or regulatory provisions to which they are subject.

Efashion Paris cannot be held to any guarantee of any kind, whether implicit or explicit, concerning in particular the integrity, accuracy, timeliness, non-infringement, availability, reliability or exhaustiveness of the information, or services appearing on the Site nor their suitability for the use that the Users plan to make of them.

In general, with regard to Users, Efashion Paris can only be held liable in the event of fault by EFashion Paris in the performance of its commitments under these General Conditions.

Any claim filed by a User against Efashion Paris must be made within seven (7) calendar days of the occurrence of the event, subject of the claim.

6.2. Responsibility for orders  

It should be remembered that the company Efashion Paris will in no case be responsible for:

  • stock-outs of Wholesalers-Sellers;

  • delays in order preparation, shipping and order delivery times;

  • defective Items and lack of conformity of the Items delivered with the order;

  • any infringing Items that the Wholesalers-Sellers put on sale online on the Site.

6.3. Responsibility of Users  

Users are personally responsible for setting up the IT and telecommunications resources allowing access to the Site and the knowledge necessary for using the Internet and accessing the Site. Users are responsible for the connection and equipment costs related to Internet access and use of the Site.

Users use the Website at their own risk. Efashion Paris cannot therefore be held responsible for any damage that Users, or any other Internet user, may suffer as a result of such use.

In addition, Efashion Paris declines all responsibility for indirect losses or damages, whatever the causes, origins, natures or consequences, including in particular the costs that may arise due to loss of opportunity, loss of turnover , expected profits, brand image, computer equipment, data or any other loss of intangible property that may arise from anyone's access to the site or the impossibility of accessing it or the credit granted to any information coming directly or indirectly from the latter. 

7. General

7.1. Modification of the General Conditions

Efashion Paris reserves the right to modify these General Conditions at any time. To be informed of these possible modifications, Efashion Paris advises any User of the Site to re-read the General Conditions regularly.

Use of the Site will be subject to the Terms and Conditions in effect at the time of use.

In addition, the General Conditions applicable to the order are those accepted by the Retailer-Buyer when placing the order.

7.2. Entirety

If one or more of the provisions contained in these Terms and Conditions are found to be incorrect, illegal or unenforceable in any way, the validity, legality and enforceability of the remaining provisions shall not be affected in any way.

7.3. Applicable law and competent jurisdictions

These General Conditions are subject to French law.

Any dispute or litigation relating to the existence, interpretation or execution of these General Conditions will, in the absence of an amicable agreement, fall within the exclusive jurisdiction of the French courts.
